Varia US Properties AG has entered into a sizeable joint venture with affiliates of Brookfield Asset Management, aligning institutional capital around a large portion of Varia US’s multifamily holdings in the United States. The Swiss-listed investor, which focuses on the U.S. multifamily sector and is externally managed by Stoneweg, an SWI Group company, has contributed 13 assets from its 17-property U.S. portfolio into the new structure.
The transaction involves the creation of two newly formed vehicles with a combined gross asset value of approximately US$693.9 million, or about US$694 million. Together, these vehicles hold 4,112 units spread across nine U.S. states, giving the partnership a diversified geographic footprint within the apartment sector. Four additional properties from the original portfolio will remain wholly owned and consolidated by Varia US.
In addition to the existing assets, the joint venture provides access to up to US$200 million of equity capital earmarked for future acquisitions. This capital is intended to support Varia US’s plan to expand its multifamily portfolio in the United States and to reposition the company toward holdings it characterizes as higher quality. The structure is designed to allow the firm to scale while targeting communities that align with its investment strategy.
Varia US plans to actively invest in the properties held within the joint venture in order to maximize value ahead of planned asset disposals. While specific renovation or capital expenditure plans were not detailed, the company indicated that the JV will be a platform both for ongoing asset management and for eventual sales, suggesting a programmatic approach to recycling capital over time.
Max-Herve George, co-founder and CEO of SWI Group, the parent of Stoneweg, described the partnership as a way to gain both “firepower” and flexibility in the U.S. living sector. He noted that the joint venture is intended to enable a focus on higher-quality residential communities while allowing Varia US to grow its presence in a market where scale and disciplined execution are increasingly important.
The portfolio contributed to the joint venture includes properties such as Rolling Hills Apartments in Louisville, KY, which Varia US highlights as representative of its U.S. holdings. Specific property-level financials, acquisition pricing and timing for future transactions were not disclosed, but the formation of the JV signals an emphasis on capital-efficient growth and active portfolio management in partnership with a global institutional investor.
