The JV structure allows Alexandria to crystallize equity in a core life sciences asset while retaining control, illustrating how institutional partners are being used to optimize balance sheets without forced sales.

KKR and Alexandria Real Estate Equities, Inc. have entered into a new joint venture involving Alexandria’s Campus Point by Alexandria Megacampus, a large life sciences campus in San Diego. The companies announced a $475 million joint venture investment by capital accounts advised by KKR into Alexandria’s majority ownership interest in the asset, which totals nearly two million square feet of life science space.

Under the terms described, KKR has acquired a 49% noncontrolling equity interest in Alexandria’s Campus Point investment entity. That stake represents an approximate 28.5% indirect ownership position in the underlying joint venture that holds the megacampus. Alexandria retains a majority interest in the investment entity following the transaction.

The capital raised through this investment is intended to give Alexandria additional flexibility to manage the Campus Point megacampus over the long term. According to the companies, the infusion of equity will support continued development on the site, ongoing leasing efforts, and planned property enhancements across the campus.

Sam Caven, Co-Head of Acquisitions, Americas at KKR, highlighted the quality of the Campus Point asset and its tenant profile in connection with the joint venture. He described Campus Point by Alexandria as a premier megacampus that benefits from an established tenant base and long-term contractual cash flows. Caven added that KKR looks forward to working alongside Alexandria’s team to support further development at the property and to focus on driving long-term value.

Alexandria’s CEO and CIO, Peter Moglia, positioned the transaction as part of a broader corporate capital strategy. He noted that the joint venture represents an important step in the company’s efforts to optimize its capital structure and to unlock value across its portfolio. By bringing in a significant institutional partner on a noncontrolling basis, Alexandria is able to retain control of the megacampus while diversifying its capital sources.

Several advisory firms played roles in the execution of the transaction. Eastdil Secured Savills served as financial advisor to Alexandria Real Estate Equities, Inc. Proskauer provided legal counsel to Alexandria in connection with the joint venture. KKR received legal advice from Gibson Dunn.

The Campus Point by Alexandria Megacampus is described by the parties as a nearly two-million-square-foot life sciences campus located in San Diego, reflecting the ongoing use of large-scale, specialized facilities to support life sciences tenants. While specific leasing details, tenant names, and individual building metrics were not disclosed, the parties emphasized the stability and duration of the campus’s existing cash flows as a key element of the investment thesis.

The joint venture structure, featuring KKR’s 49% noncontrolling equity stake and Alexandria’s continued majority position, underscores the use of institutional partnership capital to fund development, leasing, and enhancement programs at established campuses while allowing the original sponsor to maintain operational and strategic control.
